Main Areas of Responsibility:
- Provide administrative support to the Legal Department.
- Maintain matter management database and file system.
- Assist in the preparation of and file Section 16 filing forms required by the Securities and Exchange Commission for all officers and directors.
- Assist in planning regular board of directors meetings and preparing all relevant documentation for such meetings.
- Maintain board of directors' attendance logs and track director compensation.
- Prepare and file U.S. foreign qualification filings and other state and federal regulatory filings, including annual reports and statements of information, as required.
- Assist in planning and coordinating U.S. annual shareholders meetings, including mailing of proxy materials and maintenance of proxy materials website.
- Prepare corporate documents for affiliated entities such as board and shareholder resolutions, proxies, appointment of officers, powers of attorney, etc.
- Conduct and assist with online research, analysis and interpretation of legal requirements.
- Compose and type business correspondence, reports, filings and other documents as directed.
- Fax, copy, scan, and manage calendar(s) and workflow, all with attention to appropriate deadlines and priorities.
- Edit/revise contracts/documents as needed, including SEC filings.
- Make travel arrangements and prepare expense reports.
- Other duties and projects as assigned.
Qualifications:
- Should have at least five (5) years of legal experience.
- Prior public company experience a plus.
- Foreign language skills a plus, specifically Spanish and/or French.
- Basic contract review experience a plus.
- Should be organized, responsible and detail-oriented.
- Ability to manage multiple tasks and deadlines; work well under pressure, and able to follow through on numerous projects simultaneously.
- Excellent verbal and written communication skills a must; position requires frequent interaction with senior management and members of the board of directors.
- Required to maintain confidence of sensitive and proprietary information.
- Must be proficient in Office 2007, including Word, Outlook, Excel and Powerpoint.
Education:
- Must have a High School Diploma. Associates Degree or Paralegal Certificate preferred.
